AIX Publisher Terms

Version 2026-10-24

These AIX Publisher Terms (these "Terms") are an agreement between Brambles.ai Inc., a Delaware corporation with offices at 2829 Townsgate Rd., Suite 100, PMB 9028, Westlake Village, CA 91361 ("Brambles.ai"), and the organization that accepts them ("you"). They cover your use of the Agentic Intent Exchange to send shopping intent from your shopping assistant or AI agent (your "Assistant").

1. Acceptance

1.1 Clickwrap. You accept these Terms by checking the acceptance box in the Console when your organization turns on sending intent, or when the Console asks you to accept a new version. Brambles.ai records the version, the accepting user and the time.

1.2 Your organization is the customer. These Terms bind the organization active in the Console at acceptance, for all of its Sending Agents. The person accepting confirms that they are an administrator authorized to bind it.

1.3 Precedence. A signed agreement with Brambles.ai governs AIX only if it expressly says so. For AIX, these Terms control over the brambles.ai Terms of Service.

2. Definitions

  • "AIX" means the Agentic Intent Exchange, including its APIs, MCP tools, console on brambles.ai (the "Console") and setup prompts, skills, documentation and sample code (the "AIX Materials").
  • "Sending Agent" means a sending agent your organization creates in the Console to send Intents from your Assistant; the API and the Console identify it by its agent id (aixapp_…).
  • "Credentials" means your keys and tokens obtained with them. "Sandbox Keys" (aix_test_pk_…) are for testing; "Production Keys" (aix_live_pk_…) are for real Shoppers.
  • "Delivered Intent" means an Intent for which AIX, in production, issued a Receipt to a Receiver and charged that Receiver, after a Confirmed Arrival (Section 3.1).
  • "Personal Data" means information relating to an identified or identifiable natural person, including "personal information" under U.S. state privacy laws.
  • "Handoff" means your report that your Assistant is sending a Shopper to a destination URL. When a Receiver would pay, AIX answers with an AIX link (the "Handoff URL") and a parameter (aix=<handoff id>) you may add to the destination URL inside your own link; otherwise it answers the original URL and a status.
  • "Intent" means a Shopper's current shopping task that you send to AIX (a structured task or the Shopper's message), with its page URL, country, locale and Privacy Signals (Section 5.4).
  • "Receipt" means the SD-JWT, signed by Brambles.ai, that delivers an Intent to a Receiver.
  • "Receiver" means a business that has accepted the AIX Receiver Terms, verified a destination domain, been approved by Brambles.ai and runs a live campaign with a quality bar (Section 3.1).
  • "Revenue Share" means the percentage of each Delivered Intent's price that accrues to you ("Earnings"), as shown in the Console. It may be zero.
  • "Shopper" means a natural person who uses your Assistant.

Terms such as "controller," "processor," "service provider" and "third party" have the meanings given by applicable data protection law.

3. The service and its limits

3.1 How AIX works. You send Intents and report Handoffs. Every Intent receives a quality score from 0 to 100. If a Handoff's destination is an https URL on a domain verified by a Receiver whose live campaign matches the Intent's category, whose quality bar the Intent meets, that has budget left and is backed by a payment method in good standing, AIX answers that a Receiver would pay and returns a Handoff URL and the link parameter. Otherwise AIX returns the original URL and a status; a Receiver's commercial reasons are reported only as "not delivered". Nothing is issued or charged when a Handoff is merely reported. The Receipt is issued, the Receiver charged and your Earnings accrued only when Brambles.ai's checks confirm a Confirmed Arrival: the Shopper's opening of the Handoff URL, their landing on the Receiver's site with the link parameter, or the Receiver's redemption of the handoff id from the Shopper's agent checkout (a "Confirmed Arrival"). The Handoff URL and the parameter work only within one hour of the Handoff report; an opening from the server that reported the Handoff, by an automated client (crawlers, link previews, prefetching) or sooner than a person could click is not a Confirmed Arrival, and a Handoff URL opened again from a different network address sends the Shopper on without the Receipt. A Receiver pays only for Intents at or above its campaign's quality bar.

3.2 What Receivers get. The shopping task (category, summary, budget, and stated requirements, preferences and exclusions), the destination and any product details you report, your Sending Agent identifier, the Shopper's country and locale, the Intent's quality score, and the domain and path of the Shopper's page without query strings or identifier-like segments. The session appears only as a pseudonym unique to that Receiver and that shopping task; your session IDs never leave AIX.

3.3 Limits. A Receipt proves only that Brambles.ai issued it and that it is unaltered, not who the Shopper is, that the Shopper is real, or that an Intent is accurate. AI extraction from a Shopper's message can be wrong. Brambles.ai guarantees no deliveries, conversions or Earnings and is not a party to transactions between Shoppers and Receivers. AIX is a beta service without an uptime commitment; integrate it so that your Assistant works without it.

3.4 Daily caps and rate limits. For the first 30 days after your organization creates its first Sending Agent, AIX delivers and charges at most 100 Delivered Intents a day for your organization; after that, 1,000 a day unless Brambles.ai sets a different cap for you in writing or in the Console. Handoffs over the cap send the Shopper on without the Receipt and earn nothing. Brambles.ai may also set rate limits on API calls; the documentation states the current limits.

4. Accounts and keys

4.1 Sandbox and production. Each Sending Agent receives a Sandbox Key. Sandbox traffic never reaches a Receiver, is never charged and never earns; a sandbox Handoff returns a preview of what a Receiver would receive, and a sandbox Handoff URL shows a test page instead of sending anyone to a store. You may create a Production Key after a successful sandbox Handoff, once your organization has accepted the current version of these Terms.

4.2 Security. Brambles.ai shows each key once and stores only a keyed hash of it. Keep Credentials on your servers and out of browser or mobile code, logs, repositories and model prompts, and revoke and report any you suspect are exposed. You are responsible for all activity under your Sending Agents and Credentials, including by AI tools you connect, until revocation. Brambles.ai may set rate limits and quotas (Section 3.4).

5. Data

5.1 What you may send. Send only what AIX asks for: shopping requirements (category, a short summary, a budget, and attributes such as brand, size, width, department, use case, feature, merchant and deal); the page URL, country, locale and Privacy Signals; and, for Handoffs, the destination and the product's title, brand, category, merchant and price. A session_id must identify one conversation, never a person, account, device or advertising identifier. Send the Shopper's country with every Intent, or a locale that includes the region; AIX does not accept a production Intent with neither.

5.2 Prohibited Data. You will not send any of the following ("Prohibited Data"): (a) names, email or postal addresses, phone numbers, account, customer or order numbers, payment card or bank details, government identifiers, precise geolocation, IP addresses, device or advertising identifiers, or login credentials; (b) sensitive personal data, including an Intent revealing a Shopper's health, reproductive or sexual health, sex life or sexual orientation, religious beliefs, racial or ethnic origin, political opinions, union membership, immigration status, criminal history, or genetic or biometric data; (c) an Intent about anyone you know or have reason to believe is under 16, or under a higher local age of digital consent; or (d) whole conversations. Brambles.ai may delete Prohibited Data and suspend a Sending Agent that sends it. AIX also screens Intents for sensitive topics, such as health, and does not store or share an Intent it identifies as sensitive; that screening is a safeguard, not a guarantee, and does not change your obligations under this Section.

5.3 Notices, consent and rights. Before you send an Intent you must have: (a) a privacy notice telling Shoppers that their shopping requirements may be shared with Brambles.ai and with the stores they are sent to, including where the law treats that sharing as a sale; (b) any consent the law requires; (c) any opt-out the law requires, honored for AIX; and (d) all rights needed to give Brambles.ai this data and these instructions.

5.4 Privacy Signals. You must forward in the Intent's privacy field every signal that applies: Global Privacy Control as gpc, an opt-out of sale or sharing as do_not_sell, a possible minor as minor, and refused or withdrawn consent as consent: "denied" (each a "Privacy Signal"). A value of unknown does not replace consent the law requires. With a Privacy Signal, AIX stores nothing from that Intent and deletes the Intents it holds for that session. Receipts already issued are not recalled; the AIX Receiver Terms require their deletion at expiry.

5.5 Shoppers in Europe. For a Shopper in the European Economic Area, the United Kingdom or Switzerland, AIX delivers an Intent to a Receiver only if you pass consent: "granted" with the Handoff or the Intent. You may do so only when that Shopper gave valid consent to sharing their shopping task with that store. One example is a click on a store link after your Assistant showed the Shopper a notice that clicking a store link shares their shopping request with that store. Otherwise the Shopper is sent on without the Intent.

5.6 Deletion requests. You can delete a session's Intents, and clear the Receipts made from them, through AIX's deletion endpoint. You must do so promptly when a Shopper's request requires it.

5.7 Safeguards are not a substitute. Brambles.ai's safeguards (hashed session IDs, stripped URLs, redaction of identifiers it detects, sensitive-topic screening, the European consent rule, pseudonyms unique to each Receiver and task, and not storing a Shopper message after extracting the task) are best-effort and do not reduce your obligations under this Section 5.

5.8 Roles and processing. For Personal Data in Intents and Handoffs, you are the controller (the "business" under U.S. state privacy laws), and Brambles.ai processes it for you as your processor and service provider. Creating a Production Key and reporting Handoffs are your documented instructions to deliver Intents to Receivers. Brambles.ai will:

  • (a) process that Personal Data only to provide AIX as these Terms describe, unless the law requires otherwise;
  • (b) not sell it except by delivering it to Receivers on your instructions, and not retain, use or disclose it outside its direct business relationship with you;
  • (c) ensure its personnel are bound by confidentiality;
  • (d) protect it with appropriate technical and organizational security measures;
  • (e) use subprocessors, such as its cloud hosting, database and AI extraction providers, only under written terms at least as protective as this Section, remaining responsible for them;
  • (f) notify you without undue delay, and within 72 hours where feasible, after confirming a breach affecting it;
  • (g) help you respond to Shoppers' requests, including through the deletion endpoint; and
  • (h) delete it as Section 5.9 describes.

Where the GDPR, the UK GDPR or Swiss data protection law applies to that processing, the Standard Contractual Clauses approved by the European Commission in Decision 2021/914 (Module Two), with the UK Addendum and the Swiss amendments as needed, are incorporated by reference, with these Terms supplying their details.

Each Receiver is an independent controller (a "third party" under U.S. state privacy laws) bound by the AIX Receiver Terms. Those terms limit its use to on-site personalization, agent continuity and contextual product ranking until the Receipt expires; forbid retargeting, model training, re-identification and onward disclosure; and make Publishers third-party beneficiaries. Brambles.ai acts as an independent controller only for account, billing, security and fraud-prevention data about you and your users.

5.9 Use and retention. Brambles.ai uses Intents and Handoffs only to operate, secure and report on AIX, prevent fraud, bill Receivers, calculate Earnings and produce aggregated statistics that identify neither you nor any Shopper. It does not sell them except by delivering them to Receivers on your instructions, does not train AI models on them, and does not combine them with other Publishers' data. It deletes Intent content within 30 days after the Intent expires and Receipt content within 90 days after issue, keeping metadata needed for billing, payouts, fraud prevention and records.

6. Your Assistant and Shoppers

You are responsible for your Assistant and what it tells Shoppers. Do not imply that Brambles.ai or a Receiver endorses you or misstate why a destination is recommended, and disclose any material connection, such as a Revenue Share, that advertising or consumer-protection law requires. Give each Handoff URL, unaltered, only to the Shopper whose session it reported.

7. Acceptable use

You will not, and will not let anyone else: (a) send Intents or Handoffs with a Production Key that are fabricated, scripted, automated or not from a real Shopper's current shopping task; (b) report a Handoff unless your Assistant is actually sending that Shopper there; (c) reward Shoppers for creating Intents or following Handoffs without Brambles.ai's written approval; (d) create new versions of an Intent, repeat Handoffs or split tasks to generate extra deliveries; (e) include content meant to manipulate a Receiver's systems or AI agent; (f) circumvent limits, caps, scopes, privacy suppression, sandbox separation or a suspension, including through additional Sending Agents or organizations; (g) reverse engineer AIX, except to verify Receipts with Brambles.ai's published keys; (h) probe or test AIX's security without written permission; or (i) use AIX in breach of law or anyone's rights.

"Prohibited Activity" means fraudulent, deceptive, automated or invalid activity that distorts Intents, Handoffs, deliveries, charges, Earnings or reporting, including items (a) to (e). Brambles.ai may monitor use of AIX to enforce this Section. If it reasonably determines that Prohibited Activity occurred, it may withhold, reverse or set off the related Earnings, suspend your Sending Agents and Credentials, and terminate these Terms.

8. Earnings and payouts

8.1 Accrual. Publishers pay nothing to use AIX. Earnings accrue only on your Delivered Intents, at the Revenue Share in effect at delivery, calculated in U.S. dollars on the price charged to the Receiver and rounded down to the cent. Nothing accrues on sandbox traffic, a Handoff without a Confirmed Arrival, a Handoff over your daily cap, a repeat Handoff of the same version of an Intent to the same domain (which is not charged again), or while the Revenue Share is zero.

8.2 Revenue Share changes. Brambles.ai may change the Revenue Share. A decrease takes effect no earlier than 30 days after notice in the Console or by email; an increase may take effect immediately. Accrued Earnings are never re-priced.

8.3 Payment. Brambles.ai pays Earnings in U.S. dollars through Stripe Connect to your organization's connected account, once you complete Stripe's onboarding and accept its connected-account terms. Earnings become payable only after (a) the day on which they accrued has ended, (b) Brambles.ai has received the Receiver's payment for them free of dispute, (c) any fraud or invalid-activity review has finished, and (d) your total payable balance from Brambles.ai reaches the minimum payout, currently US$25; smaller balances carry forward. Brambles.ai pays in its regular payout run, currently monthly on the 10th, for Earnings whose Receiver charges have been paid by then. A change that delays or reduces payment applies only to Delivered Intents after 30 days' notice.

8.4 Reporting. The Console reports accepted Intents, Delivered Intents, Earnings accrued and Earnings paid separately; accrued Earnings are not yet payable. Figures you do not dispute in writing within 60 days after they appear are final, subject to Section 8.5.

8.5 Reversals. If a Receiver's charge for a Delivered Intent is refunded, disputed, credited or voided, or the Delivered Intent resulted from Prohibited Activity, Brambles.ai will reverse the Earnings from that charge: the amount is deducted first from your unpaid Earnings and, where those Earnings have already been paid, from your future payouts, with notice. You must repay in cash, within 30 days after request, any reversed Earnings not set off within 90 days after notice, and any reversal that results from your breach or Prohibited Activity.

8.6 Taxes. You are responsible for taxes on your Earnings and will provide the tax forms Brambles.ai or Stripe reasonably requests, such as IRS Form W-9 or W-8. Brambles.ai may withhold and report as the law requires and hold payment until it has the tax information it needs.

8.7 After termination. Earnings on Delivered Intents before termination remain payable under this Section 8, except amounts withheld under Section 7. On request, Brambles.ai will pay a remaining balance below the minimum, less transfer fees.

9. Suspension and termination

You may stop using AIX, revoke your keys and terminate these Terms by notice at any time. Brambles.ai may suspend a Sending Agent, Credential or delivery immediately if it reasonably believes there is a breach, Prohibited Activity, a security incident, a risk of harm to Shoppers or Receivers, or a legal requirement, with notice when reasonably possible. Brambles.ai may terminate these Terms for convenience on 30 days' notice, for a material breach not cured within 15 days after notice, or immediately for Prohibited Activity or a breach of Section 5. On termination your Credentials stop working; Sections 5.8, 5.9, 7 (as to remedies), 8 (as to accrued amounts) and 11 to 18 survive.

10. Changes

10.1 New versions. Brambles.ai may publish new versions of these Terms, with at least 30 days' notice of a material change in the Console or by email to your administrators, unless the law, security or fraud prevention requires a change sooner.

10.2 Re-acceptance. You must accept the current version before creating a Production Key. Continued production use after a new version takes effect requires accepting it; until you do, Brambles.ai may suspend your Production Keys, and if it does not, the new version governs that use. If you do not agree, revoke your Production Keys before the new version takes effect.

10.3 Changes to AIX. Brambles.ai may change AIX, with reasonable notice of changes that require your action or materially reduce its functions, and 30 days' notice before discontinuing it.

11. Confidentiality

Each party will use the other's non-public information (including Credentials, non-public pricing and payout terms, information about Receivers and AIX security details) only under these Terms, protect it with reasonable care, and share it only with personnel and advisers bound by confidentiality. Public, already known, rightfully received or independently developed information is excluded, and legally compelled disclosure is permitted after prompt notice where lawful. These duties last three years after termination, and for trade secrets while they remain secret.

12. Ownership, licenses and feedback

Brambles.ai owns AIX and the AIX Materials and grants you, while these Terms are in effect, a limited, non-exclusive, non-transferable license to use, copy and modify the AIX Materials solely to connect your Assistant to AIX. You own your Assistant and, between the parties, your Intents and Handoffs, and grant Brambles.ai a worldwide, royalty-free license to use them to provide AIX as these Terms describe, including delivery to Receivers. Brambles.ai may use your feedback about AIX freely, without identifying you publicly.

13. Disclaimers

EXCEPT AS EXPRESSLY STATED IN THESE TERMS, AIX AND THE AIX MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE." BRAMBLES.AI DISCLAIMS ALL OTHER WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND DOES NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION, THE IDENTITY OR CONDUCT OF ANY SHOPPER OR RECEIVER, THE ACCURACY OF ANY INTENT OR AI-EXTRACTED TASK, OR ANY DELIVERIES, CONVERSIONS, EARNINGS OR REVENUE.

14. Limitation of liability

14.1 Exclusion. IN NO EVENT WILL EITHER PARTY BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY.

14.2 Cap. EACH PARTY'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE EARNINGS PAID OR PAYABLE TO YOU UNDER THESE TERMS IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE THOUSAND U.S. DOLLARS ($1,000).

14.3 Data protection. BRAMBLES.AI'S TOTAL CUMULATIVE LIABILITY FOR BREACH OF SECTION 5.8 OR 5.9 AND UNDER SECTION 15.2 WILL NOT EXCEED TWO HUNDRED FIFTY THOUSAND U.S. DOLLARS ($250,000), IN PLACE OF SECTION 14.2.

14.4 Exceptions. Sections 14.1 and 14.2 do not apply to your indemnification obligations, your breach of Section 5, 7 or 11, amounts you must repay under Section 8.5, either party's fraud or willful misconduct, infringement or misappropriation of the other party's intellectual property, or liability that cannot be limited by law.

15. Indemnification

15.1 By you. You will defend Brambles.ai and its affiliates against any third-party claim, including by a Shopper, Receiver or regulator, arising from your Intents, Handoffs, Assistant, notices, consents or Privacy Signals, Prohibited Activity under your Credentials, or your breach of Sections 5 to 7 or of law, and will pay damages finally awarded or agreed in settlement, and fines where the law allows.

15.2 By Brambles.ai. Brambles.ai will defend you against any third-party claim alleging that AIX, as provided by Brambles.ai, infringes a third party's intellectual property rights (except claims arising from your data, Assistant or modifications), or arising from Brambles.ai's breach of Section 5.8 or 5.9, and will pay damages finally awarded or agreed in settlement.

15.3 Procedure. The indemnified party will promptly notify the indemnifying party, give it control of the defense and settlement (with no admission or liability imposed on the indemnified party without its consent), and cooperate reasonably at the indemnifying party's expense.

16. Governing law and disputes

These Terms are governed by California law, without regard to conflict-of-laws principles, and the Federal Arbitration Act governs this Section 16. Before starting a proceeding, the parties will try in good faith for thirty (30) days to resolve the dispute through senior representatives. Any dispute arising out of or relating to these Terms or AIX will then be resolved by final and binding arbitration administered by JAMS under its Comprehensive Arbitration Rules, before a single arbitrator, in Los Angeles County, California. Disputes are resolved only on an individual basis; class, collective and representative proceedings are not permitted. Either party may bring an individual claim in small claims court, and either may seek injunctive or other equitable relief, or collect undisputed amounts, in the state or federal courts located in Los Angeles County, California, which have jurisdiction for those purposes. Judgment on the award may be entered in any court of competent jurisdiction. The prevailing party may recover reasonable attorneys' fees and costs.

17. Notices and contact

Send notices and questions to hello@brambles.ai, or by mail to Brambles.ai Inc., 2829 Townsgate Rd., Suite 100, PMB 9028, Westlake Village, CA 91361. Brambles.ai sends notices to your organization's administrators by email or in the Console. Email notices are effective when sent if no bounce or error is received.

18. General

The parties are independent contractors. Neither party may assign these Terms without consent, except to an affiliate, a successor in a merger or sale of substantially all relevant assets, or a financing party for collateral purposes. Neither party is liable for delays, other than in payment, caused by events beyond its reasonable control, and neither may use the other's name or marks in public marketing without written approval. You represent that you are not subject to U.S. sanctions. These Terms and your Console settings are the entire agreement about AIX. An unenforceable provision will be modified to the minimum extent necessary, a failure to enforce is not a waiver, and there are no third-party beneficiaries.
